What's New?

In The News

As of 1 January 2020, the Corporations Act requires a broad range of companies to implement whistleblower policies. This legislation applies to large private companies, trustees of registrable superannuation entities, and public companies. Public not-for-profits and charitable companies with annual revenue below $1 million are exempt.

Policies must include:

- types of matters covered by the whistleblower policy

- who can make and receive a disclosure

- how to make a disclosure

- legal and practical protections for disclosers

- investigating a disclosure

- ensuring fair treatment of individuals mentioned in a disclosure.

ASIC's Regulatory Guide 270 Whistleblower policies (RG 270) provides guidance to help organisations develop policies that protect and support whistleblowers. Commissioner John Price has stated:

"Whistleblower policies influence behaviour and corporate culture in positive ways, not only encouraging greater disclosures of wrongdoing but also deterring people from doing the wrong thing. Robust and transparent whistleblower policies are essential to achieving sound risk management and corporate governance".

Whistleblower disclosures are a hot-button issue as the new requirements include major substantive changes, and many organisations find they need support to develop their policy and educate their staff in its implementation. On 15 January the FWC updated its Unfair Dismissals Benchbook.

This benchbook assists parties lodging or responding to unfair dismissal applications under the Fair Work Act 2009 (Cth).

Under the FWA a person has been unfairly dismissed if the FWC is satisfied that an employee protected from unfair dismissal has been dismissed, and that the dismissal was

"harsh, unjust or unreasonable, and was not consistent with the Small Business Fair Dismissal Code and was not a case of genuine redundancy".

The benchbook supports the FWA's spirit of a 'fair go all round' for all employees and employers. It covers:

- the parameters of dismissal

- what make a dismissal unfair

- application information

- commission processes

- remedies and appeals.

The benchbook is structured according to the unfair dismissal application process and is a valuable resource for addressing common issues as they arise in each step.
